A corporation differs from the simpler forms of structuring a business in a very important way: the corporation is recognized to be a unique, stand-alone entity, completely separate form the individuals who own it. Corporations are given the right to exist by the state that issues their charter. If a corporation wants to do business in a state other than the one that they are chartered in, they have to file for qualification in that state.
A business can incorporate by filing articles of incorporation with the appropriate agency in their state. Each state will usually require each corporation to have its own unique name.
